Terms of Service

1. Agreement to Terms

By accessing or using PropFlow ("the Service"), operated by PropFlow Pty Ltd (ABN pending) ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

PropFlow is a software-as-a-service platform that enables users to create, send, and manage business proposals with integrated payment collection. The Service includes AI-powered proposal generation, client-facing proposal pages, and Stripe payment processing.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service.

4. Subscription and Payment

PropFlow offers subscription plans billed monthly or annually in Australian Dollars (AUD). All prices are inclusive of GST where applicable.

  • Free trials last 14 days and provide access to Pro plan features.
  • After the trial period, you must subscribe to continue using paid features.
  • Subscriptions automatically renew unless cancelled before the renewal date.
  • You may cancel your subscription at any time through the billing settings.

5. Payment Processing

PropFlow uses Stripe to process payments. When your clients pay through proposal pages, funds are deposited directly into your connected Stripe account. PropFlow does not hold, manage, or have access to your client funds. Stripe's standard processing fees apply.

6. AI-Generated Content

PropFlow uses artificial intelligence to generate proposal content. You are solely responsible for reviewing, editing, and approving all AI-generated content before sending it to clients. We do not guarantee the accuracy, completeness, or suitability of AI-generated proposals.

7. Your Content and Data

You retain ownership of all content you create or upload to PropFlow, including proposals, business information, and client data. By using the Service, you grant us a limited licence to store, process, and display your content solely for the purpose of providing the Service.

You are responsible for ensuring you have the right to share any client information you input into the Service and that your use complies with applicable privacy laws.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Send fraudulent or misleading proposals
  • Attempt to reverse-engineer or compromise the Service
  • Resell access to the Service without written permission
  • Use the Service to collect payments for illegal goods or services

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any losses resulting from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by Australian law, PropFlow's total liability to you for any claims arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunities.

11. Indemnification

You agree to indemnify and hold harmless PropFlow and its operators from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

12. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination, your data will be deleted within 30 days, except where retention is required by law.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance.
